What you pay

Registered agent service in Iowa: $99/year. It renews automatically each year at $99 unless you turn off auto-renewal or cancel in your online account.

State fees are shown separately from our fee. We collect them with your order and pay them to the state at cost when we file.

What isn't included

• A virtual mailbox or mail forwarding. Everyday business mail is charged per piece to view, legal letters beyond the 3 a year are charged per piece, junk mail is discarded and packages are refused.
• Filing your annual report. That is a separate service with its own fee plus the state's fee.
• State filing fees of any kind.
• Forming the company, or any amendment or reinstatement filing.

The service

The plan covers the following.

Iowa registered agent representation, billed at $99 per year. Includes the office address on your filings, same-day scanning of legal mail, and reminders for state deadlines.

• A registered agent of record in Iowa, listed on your state filing.
• We accept service of process and official state mail on your company's behalf.
• Service of process and Secretary of State mail are scanned to your online account, with an email to you.
• Up to 3 other official (legal) letters a year are scanned at no extra charge, for example letters from the IRS.
• Annual report due-date reminders by email.

Regarding paperwork and privacy: as your registered agent we take in service of process and official Iowa correspondence for you, and our address can go on your public filings so your own never appears. We are not a mail-forwarding service, though. Service of process is scanned to you the same day at no charge, anything else you want scanned is $15 an item, and we bill actual postage if a paper original has to be sent.

The Iowa requirements behind the service

Every Iowa LLC has to designate and maintain a registered agent, and the requirement lives in Iowa Code § 489.115. The agent is the official recipient for lawsuits, state notices, and other legal mail, with a real place of business in Iowa where documents can be delivered.

Designate and maintain an agent. Your LLC names a registered agent when it forms and must keep one continuously. There's no gap allowed between agents.

The agent needs a place of business in Iowa. Any person can serve, an individual or a business entity, so long as they maintain a place of business in the state. The registered office must be an Iowa street address; a PO box doesn't qualify.

The agent must consent. Your filing affirms that the person or company you've named has agreed to take the job.

A citation housekeeping note: Iowa renumbered chapter 489 effective January 1, 2024. The registered agent provision now sits at § 489.115 and agent changes at § 489.116, so older guides citing § 489.113 or § 489.114 are working from the pre-2024 numbering.

How signing up works

Once you complete enrollment, we'll send confirmation along with our registered office address to use for your Iowa business filings.

New business? Include our information as your registered agent when you file your formation documents with the Iowa Secretary of State.

Switching agents? Good news—Iowa doesn't charge a fee to change your registered agent. Just file the update form with the state and you're all set. We'll provide guidance on completing the form correctly.

Most changes process within a few business days after submission. We'll be ready to start receiving documents as soon as your filing is complete.

Already have an agent?

Change of registered agent to us: $0 our fee + no Iowa filing fee = $0. The registered agent service itself is $99/year.

You can download Form 635_0119 from the Secretary of State's business entity forms and fees page. It's short: your entity name, the new registered agent, and the new registered office address.

1. Pick your new registered agent first. Iowa Code § 489.115 lets any person serve, an individual or a company, as long as they have a place of business in Iowa, and your filing affirms the agent has consented. The registered office must be a street address, never a PO box.
2. Complete Form 635_0119 with your entity name, the new agent's name, and the matching street addresses.
3. Submit the form to the Iowa Secretary of State, Business Services Division. For an LLC there's no payment to include; the fee is $0.
4. Confirm the update. After processing, search for your company in the state's business records and make sure the new agent appears. We suggest checking within a couple of weeks of filing.

Renewals, cancellation and refunds

Registered agent service renews automatically for another year on each renewal date, unless you turn off auto-renewal or cancel in your online account, or give written notice at least 30 days before the renewal date. Renewal reminders go out about 60 days ahead.

You can cancel at any time from your online account or by contacting support. Cancelling does not by itself remove us as registered agent on the state record; a change of registered agent or resignation filing does that.

Anything already filed with the government is not refundable. Registered agent fees are not refundable once we or our partner have been appointed with the state. State fees are not refundable once paid to the state.

How much does it cost to change my registered agent in Iowa?
