Iowa Registered Agent Requirements: Rules, Address, and Statute

Iowa registered agent representation, billed at $99 per year. Includes the office address on your filings, same-day scanning of legal mail, and reminders for state deadlines.

Every Iowa LLC has to designate and maintain a registered agent, and the requirement lives in Iowa Code § 489.115. The agent is the official recipient for lawsuits, state notices, and other legal mail, with a real place of business in Iowa where documents can be delivered.

We provide professional registered agent service for $99 per year, helping Iowa businesses satisfy § 489.115 while keeping personal addresses off the public record.

What Iowa Code § 489.115 Requires

Three things, in plain English:

Designate and maintain an agent. Your LLC names a registered agent when it forms and must keep one continuously. There's no gap allowed between agents.

The agent needs a place of business in Iowa. Any person can serve, an individual or a business entity, so long as they maintain a place of business in the state. The registered office must be an Iowa street address; a PO box doesn't qualify.

The agent must consent. Your filing affirms that the person or company you've named has agreed to take the job.

A citation housekeeping note: Iowa renumbered chapter 489 effective January 1, 2024. The registered agent provision now sits at § 489.115 and agent changes at § 489.116, so older guides citing § 489.113 or § 489.114 are working from the pre-2024 numbering.

What the Agent Actually Does

Your registered agent is the contact point between your company, the courts, and the Iowa Secretary of State. Service of process (lawsuits, subpoenas, summonses), compliance notices, biennial report correspondence, and other official mail all route to the registered office. The agent's job is to be reachable during regular business hours and get documents to you fast.

Because the agent's name and Iowa street address appear in the state's public business records, whoever takes the role has their address visible to anyone searching the registry. That visibility is the main reason owners hire a professional service instead of listing a home address.

Should You Serve as Your Own Agent?

Iowa's statute is broad about who can serve: any person with a place of business in the state. Many owners start out listing themselves. Before you do, weigh the tradeoffs:

Your address goes public. The registered office shows up in the state's searchable records, which tends to invite junk mail and data harvesting.

You're tied to the office. Someone has to be available at the registered office during regular business hours to accept deliveries. Travel and irregular schedules make that hard.

Process servers don't call ahead. Being handed a lawsuit in front of customers, or at home in front of the neighbors, is nobody's favorite moment.

It doesn't scale. One entity is manageable. Several entities, or a move out of state, and the do-it-yourself approach breaks down.
