Iowa Registered Agent for Out-of-State Businesses

If your business is formed in another state but does business in Iowa, you're considered a "foreign" entity in Iowa — and you'll need to register here through a process called foreign qualification. Along the way, you'll have to put an Iowa registered agent in place.

What "Foreign" Actually Means

In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in Iowa is a "foreign LLC" from Iowa's perspective. The same applies to corporations and other entity types.

Iowa Code § 489.902 says an out-of-state LLC can't start doing business in Iowa before registering with the Secretary of State. What counts isn't defined, but § 489.905 names eleven activities that don't, including meetings of members or managers, accounts at banks, selling through contractors you don't employ, orders that need acceptance elsewhere, a one-time transaction, owning and maintaining property, and interstate commerce. Out-of-state LLCs holding Iowa farmland may also face a separate landholding report under a 2026 law.

What an Iowa Registered Agent Does for a Foreign Entity

Your Iowa registered agent is the legal point of contact for your foreign entity in Iowa. The agent:

• Receives service of process if your business is sued in Iowa
• Has a place of business in Iowa, with its street and mailing addresses on your statement
• Has agreed to serve; naming the agent is your company's affirmation of that consent
• Receives the Secretary of State's biennial report notices each January of a filing year

What you lose is access to the courts: an unregistered LLC can't maintain a proceeding in Iowa, and Iowa's attorney general has the power to seek an injunction against it. Its contracts aren't impaired, and it remains free to defend itself.

How to Foreign-Qualify in Iowa

The general process for registering an out-of-state entity in Iowa:

1. Order a certificate of existence. Iowa needs one from your home state, dated no earlier than 90 days before your statement is filed. Iowa can't issue it for you.

2. Designate an Iowa registered agent. You can use a commercial registered agent service or appoint an individual who lives in Iowa.

3. File the Foreign Registration Statement ($100). Use form 635_0010 on paper, or Fast Track Filing online, where you upload the certificate. Filings are reviewed in the order received; expedites run from $15 for five business days to $200 for one hour. If your name doesn't comply, give an alternate name for Iowa.

4. File the biennial report in odd-numbered years. Your first report comes in the January-to-April-1 window of the first odd year after registration, at $30 online or $45 on paper. Let it slide past 60 days and termination becomes possible, with no reinstatement option for foreign LLCs.
